1. Acceptance of Terms

Welcome to Marmel.AI (“Marmel.AI,” “we,” “us,” or “our”). By accessing or using our website, platform, or services (collectively, the “Platform”), you agree to be legally bound by these Terms of Service (the “Terms”), together with our Privacy Policy. If you do not agree with these Terms, do not access or use the Platform.

2. Description of the Platform

Marmel.AI is an online crowdfunding platform that enables creators to raise funds for artificial intelligence–related video projects. The Platform provides tools to showcase projects, collect financial contributions from supporters, and facilitate communication between creators and supporters. Marmel.AI does not act as a broker, financial institution, or investment advisor. Contributions are not investments or securities, and supporters do not acquire any ownership or equity interest in the creator’s project or business.

3. Eligibility

You must be at least 13 years old (or the age of digital consent in your jurisdiction) to use the Platform. By registering, you represent that you have the legal capacity and authority to enter into these Terms. If you are using the Platform on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.

4. Accounts and Security

  • You are responsible for maintaining the confidentiality of your login credentials and account information.
  • You agree to provide accurate, complete, and up-to-date information during registration and to keep it current.
  • You are solely responsible for all activity occurring under your account, whether or not authorized by you.
  • Notify us immediately if you suspect unauthorized use or any security breach.

5. Creator Obligations

By creating and publishing a project on Marmel.AI, you agree to the following obligations:

  • You must be the rights holder or have full authorization to use all video materials, imagery, and information submitted.
  • Your content must not infringe or violate any third-party rights, including copyrights, trademarks, moral rights, or rights of publicity.

  • All project information, including funding goals, timelines, and deliverables, must be truthful, accurate, and not misleading.
  • Funds raised through the Platform may be used exclusively for direct production costs related to the video project described on the Platform. This includes expenses such as AI processing, video editing, licensing of assets, post-production, and other verified production-related expenditures. Use of funds for personal income, unrelated projects, advertising, or non-production purposes is strictly prohibited.
  • You are responsible for providing project updates and maintaining communication with supporters.

6. Content Approval and Restrictions

Marmel.AI reserves the right, at its sole discretion, to review, approve, reject, or remove any content or project submission at any time and for any reason. We may refuse publication if content violates these Terms or applicable law. The following types of content are strictly prohibited:

  • Adult or sexually explicit material;
  • Content that promotes harm, hate, discrimination, or harassment;
  • Defamatory, fraudulent, or misleading material;
  • Content infringing any intellectual property rights of others;
  • Malware, spam, or any activity that interferes with Platform operation.

7. Fundraising, Fees, and Withdrawals

All contributions on the Platform are processed through a third-party payment system. This model allows donors to contribute funds directly to the project creator, while Marmel.AI automatically retains a predefined service fee of 1% – 5% from each transaction. The fee covers platform hosting, payment integration, and operational support. Marmel.AI does not act as a payment intermediary or hold client funds; all transfers occur directly between the donor and the creator through the integrated payment service.

Marmel.AI retains the sole discretion to reverse or roll back transactionsand return contributions to the original sender in circumstances including, but not limited to, fraud, chargebacks, legal requirements, or violations of these Terms. All payments and related financial services are carried out in accordance with theterms of the currently active payment system, which are provided on the payment confirmation screen prior to completing a transaction.

7A. Cancellations and Refunds Policy

Supporters may request a refund of any contribution within 7 calendar days of the original payment date. To request a refund, emailsupport@marmel.aiwith the details listed below. Upon approval, we will refund the full amount of the contribution, including any Marmel.AI platform fees and payment processing fees, and reverse the contribution back to the original payment method whenever technically possible.

How to request a refund

  • Subject line: “Refund request”
  • Your full name and the email address used for the payment
  • Project name and a link to the project page (if available)
  • Transaction ID or payment reference (from the payment receipt)
  • Contribution amount and date
  • Payment method (e.g., card, wallet, etc.)
  • Optional: brief reason for the refund request

Important terms

  • Eligibility window: Refunds are available for requests submitted within 7 days from the date the contribution was made. Requests received after 7 days may be declined.
  • Per-transaction basis: Refund eligibility is assessed per contribution. Multiple contributions to the same or different projects require separate requests.
  • Method of refund: We will return funds to the original payment method whenever available; otherwise, we may offer an alternative method at our discretion.
  • Processing time: Approved refunds are typically processed within 5–10 business days, subject to the timelines of the underlying payment processor and the issuing bank.
  • Fraud and compliance: To protect users, Marmel.AI may request additional information to verify your identity or the transaction. We may decline or delay a refund where we suspect fraud, abuse, sanctions/AML concerns, or where required by law.
  • Chargebacks: If a chargeback is initiated with your bank or card issuer, the refund process will follow the rules of the payment network and may supersede this policy.
  • Project state: Where technically possible, refunds are honored even if funds have already been made available to the creator. Marmel.AI may coordinate reversals with the payment service and the creator under this policy.
  • Currencies and FX: For cross-currency payments, the refunded amount will reflect the original currency and may be impacted by exchange rate movements outside of our control.

This policy applies in addition to any statutory rights you may have as a consumer under applicable law. Nothing in this section limits those rights.

8. License and Distribution Rights

By uploading or publishing content, you grant Marmel.AI a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to host, reproduce, display, distribute, and promote your video and related materials in connection with the operation, improvement, and promotion of the Platform. This includes distribution via content delivery networks (CDNs), social media, marketing materials, or other promotional channels we deem appropriate.

After the successful completion of a project and its transition into public distribution, Marmel.AI reserves the right to distribute the project and related materials through its own or affiliated content distribution services, including but not limited to, online streaming or on-demand platforms (the “Marmel.AI Distribution Network”). Such distribution will be governed by publicly offered commercial terms that are competitive with similar industry platforms. Participation in this distribution phase does not transfer ownership of your content but authorizes Marmel.AI to publicly offer, stream, or otherwise make the project available under the applicable standard terms.

You retain full ownership of your content and may request its removal from the Platform in accordance with our removal procedures, except where retention or distribution is required for compliance, reporting, or contractual obligations related to prior commercial engagements.

9. Acceptable Use

  • You agree not to use the Platform for illegal, harmful, or deceptive purposes.
  • You will not upload or transmit viruses, bots, or malicious code.
  • You will not attempt to gain unauthorized access or interfere with the Platform’s integrity or performance.
  • You will not harvest or misuse personal data of other users.

10. Data and Analytics

Marmel.AI may collect and analyze user interaction data to evaluate platform performance and improve usability. We may share aggregated or anonymized analytics data with third-party partners for statistical and operational purposes. Personal data will be processed in accordance with our Privacy Policy and applicable data protection laws.

11. Intellectual Property

Except for user-generated content, all materials on the Platform including design, code, logos, and trademarks are the property of Marmel.AI or its licensors. You may not copy, reproduce, or distribute any Platform content without written permission.

12. Termination and Suspension

We may suspend or terminate access to your account or project at any time, with or without notice, if we believe you have violated these Terms, engaged in fraud, or acted in a manner harmful to other users or to Marmel.AI. Termination does not relieve you of any outstanding financial or legal obligations arising under these Terms.

13. Disclaimers

The Platform and all related services are provided “as is” and “as available” without any warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, or reliability of results. Marmel.AI does not guarantee that any project will achieve its funding goal, deliver its promised results, or that the Platform will operate uninterrupted or error-free.

14. Limitation of Liability

To the fullest extent permitted by law, Marmel.AI, its affiliates, officers, employees, and partners shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including loss of profits, data, or goodwill, arising out of or related to your use of the Platform or inability to use it. Marmel.AI’s total cumulative liability for any claim shall not exceed the greater of (a) USD $100 or (b) the total fees paid by you to Marmel.AI during the six months preceding the event giving rise to the claim.

15. Indemnification

You agree to indemnify and hold harmless Marmel.AI and its affiliates, officers, agents, and employees from and against all claims, damages, obligations, losses, liabilities, and expenses (including attorney’s fees) arising out of (a) your use of the Platform; (b) your violation of these Terms; or (c) any content or project you submit or fund.

16. Governing Law and Jurisdiction

These Terms and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with the laws of the Republic of Estonia. The exclusive venue for any disputes shall be the competent courts of Tallinn, Estonia, unless otherwise required by mandatory consumer protection law.

17. Modifications to Terms

We may revise or update these Terms at any time. Material changes will be notified through the Platform or via email. Continued use of the Platform after changes take effect constitutes your acceptance of the updated Terms.
